This Dealer Terms and Conditions Agreement is made between THIRDREALITY and the undersigned dealer. It outlines the terms under which the dealer may sell and distribute the company's products.
1. Appointment
The dealer is appointed as an authorized dealer of the company's products with non-exclusive rights to sell and distribute the products within the agreed territory.
2. Dealer obligations
- Promote, market, and sell the company's products in accordance with company guidelines
- Provide adequate support and customer service to end users
- Maintain any agreed minimum inventory level
- Comply with all applicable laws and regulations
3. Company obligations
- Supply products in a timely and efficient manner
- Provide marketing materials and support as available
- Offer training and product information to assist with sales efforts
4. Commercial terms
Wholesale pricing, payment terms, and ordering procedures are confirmed directly with the company. Delivery timing is subject to product availability and operational conditions.
5. Intellectual property and confidentiality
The dealer acknowledges the company's ownership of its trademarks, trade names, and related intellectual property. Both parties agree to keep proprietary information confidential.
6. Term and termination
The agreement begins on the effective date and continues for the agreed term unless terminated earlier by either party in accordance with the agreement.
7. Governing law
This agreement is governed by the laws of the jurisdiction in which the company is headquartered.
